This Agreement is entered into by and between: Iyuno USA Inc., operating via its Globalize.Me (GME) brand (“GME”), and the customer agreeing to the terms of this document (“Customer”).
1. Purpose
Customer agrees to participate in a promotional pilot project with GME for AI-based localization services (e.g., dubbing, subtitling) at no charge. This Agreement governs the test project and associated materials.
2. Scope
GME will deliver localized media content (the “Deliverables”) based on source materials provided by the Customer (e.g., videos, scripts, voice recordings). This includes the use of AI dubbing technologies (e.g., TTS, STS) and voice replication.
3. Ownership & Use
- Customer retains full ownership of the original materials and the final Deliverables.
- GME retains ownership of its proprietary AI technologies, workflows, and any GME IP used in the process.
- Customer receives a non-exclusive, royalty-free right to use the Deliverables for internal review, evaluation, and public use unless otherwise restricted in writing.
4. Consent to AI Use
Customer consents to GME’s use of the source materials (scripts, voices, etc.) in connection with its AI tools. GME may train its models using anonymized, aggregated data from this project, with no personally identifiable information retained.
5. Publicity
Customer grants GME the right to reference its name, logo, and brief clips from the Deliverables in promotional or case study materials, solely for the purpose of showcasing GME’s services. GME agrees to follow any brand guidelines provided in writing by the Customer in advance.
6. Confidentiality
Both parties agree to maintain the confidentiality of project-related information, including source materials, deliverables, and any sensitive business or technical information shared during the pilot. This obligation excludes information expressly permitted for publicity under Clause 5 or otherwise approved in writing by the Customer.
7. No Payment or Obligation
This is a complimentary pilot project. Neither party is obligated to continue beyond this test unless separately agreed.
8. Legal Terms
This Agreement is governed by the laws of California. Any disputes will be handled in the courts of Los Angeles County.
